Non-Mainstream Pooled Investments
The Board of Directors of the Company has sought legal advice on the impact of the rules published by the Financial Conduct Authority ("FCA") in relation to the marketing of "Non-Mainstream Pooled Investments", within the meaning of these rules.
Based on this advice, the Board believes that the Company's shares are excluded from the FCA's restrictions which apply to marketing Non-Mainstream Pooled Investments because the returns to investors holding the Company's shares are, and are expected to continue to be, predominantly based on the returns from shares and debentures held indirectly by the Company, and as such the Company's shares are "excluded securities" within the meaning of the applicable FCA rules.
Accordingly, the Board believes that the Company's shares can be recommended by independent financial advisers who are authorised to deal with and advise "retail clients", within the meaning of the FCA rules.
