Bagir (AIM: BAGR), a designer, creator and provider of innovative tailoring, is pleased to announce the conditional appointment of Esther Maoz as an external Non-Executive Director to the Company. Pursuant to Israeli Companies Law the Company is required to approve the nomination of an external (independent) director for an initial term of three years at an EGM and the Company wishes to nominate Ms. Maoz.

This appointment has been approved by the Company's Board of Directors and is conditional upon the consent of the shareholders at an EGM. Notice of the EGM, to be held on 24 February 2017, will be sent to shareholders today and will be made available on the Company's website, in compliance with AIM rule 20. If approved, the appointment will become effective as of the close of the EGM.

Esther is currently Senior Vice-President and Chief Marketing and Innovation Officer (CMO) of Delta Galil Industries LTD., the global manufacturer and marketer of private label apparel products. Previously she was President of Delta Textiles, a new US division for Delta Galil Industries LTD, and played a significant role in increasing their sales. Esther's career in textiles began in 1975 after studying Business Administration and Marketing from Haifa University, Israel.

Notice of EGM

The Board also announces that the EGM will be held at 10.00 a.m. on 24 February 2017 at the offices of N+1 Singer, One Bartholomew Lane London EC2N 2AX.

Pursuant to the Israeli Companies Law 1999, two 'External Directors' are required to hold office in a 'Public Company'. An External Director is, inter alia, an individual who him/herself, or whose relative, partner, employer or a corporation in which she/he has control, does not have a connection with the Company or with a holder of control of the Company, or to another corporate body controlled by the controlling shareholder of the Company on the date of appointment or during the two years preceding the date of appointment.

Shareholders should note that the Company plans to appoint an additional External Director and further announcements will be made at the appropriate time.
