Exercise of warrants and share issue

 Veltyco Group plc (AIM: VLTY), the online marketing company for the gaming industry, announces that it has received an exercise notice for the exercise of 733,521 warrants over ordinary shares of no par value in the capital of the Company ("Ordinary Shares"), which were granted on 30 June 2016, at an exercise price of 31p per share.

The Company further announces that it has satisfied an invoice for services of £143,870 by the issue and allotment of 191,827 new ordinary shares of no par value in the Company (the "Conversion Shares") at a price of 75p per conversion share.

Total Voting Rights

Application has been made for admission of 925,348 new Ordinary Shares to trading on AIM ("Admission") and it is expected that Admission will take place at 8.00 a.m. on 26 July 2017. Following Admission, there will be a total of 74,156,159 Ordinary Shares in issue. Shareholders should therefore use the figure of 74,156,159 as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
