NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Mr. Simon Christopher Moon, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 15 February 2016, that on 12 February 2016 in London, he acquired 10,011 ordinary shares of 0.5 pence each ("Ordinary Shares") in the Company following the exercise of nil cost options granted under the terms of the Atkins Deferred Share Plan. The share price at which Mr. Moon exercised his nil cost options was £11.58 per ordinary share. The acquisition of 10,011 ordinary shares, which will be held by Mr. Moon via a nominee account, equated to 0.010% of the Company's voting issued share capital.
Mr. Moon's total interest in shares following this notification is 26,573 ordinary shares, representing 0.027% of the voting issued share capital of WS Atkins plc.
This notice is given in fulfillment of the obligations under DTR 3.1.4R (1).
