Awards pursuant to the terms of the WS Atkins plc Long Term Incentive Plan ("LTIP"), being rights to acquire ordinary shares of 0.5Β pence each in the Company ("Ordinary Shares"), were granted on 13 August 2012 to the following directors and persons discharging managerial responsibility, as set out below:
