NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Ms. Joanne Curin, a director of WS Atkins plc (the "Company"), notified the Company on 30 September 2010, that on that day in London she purchased 1,000 ordinary shares of 0.5 pence each in the Company at a price of £7.39 per share. The shares are held by Ms. Curin directly. The acquisition of 1,000 shares equated to 0.001% of the voting issued share capital.

Ms. Curin's total interest in shares following this notification is 1,000 ordinary shares, representing 0.001% of the voting issued share capital of WS Atkins plc.
