NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR CONNECTED PERSONS

Mrs. Catherine Annick Caroline Bradley, a director and person discharging managerial responsibilities ("PDMR") of WS Atkins plc (the "Company"), notified the Company on 29 June 2016 that on that day in London she purchased 2,500 ordinary shares of 0.5 pence each ("Ordinary Shares") in the Company at £13.09 per share. The acquisition of 2,500 Ordinary Shares equated to 0.0025% of the voting issued share capital.

Mrs. Bradley's total interest in shares following this notification is 2,500 Ordinary Shares, representing 0.0025% of the voting issued share capital of the Company.

Prof. Dr. Uwe Krueger, a director and a PDMR of the Company, notified the Company on 29 June 2016 that on that day in London he disposed of 50,000 Ordinary Shares in the Company at an average sale price of £12.959541 per share to finance his divorce settlement. This disposal equated to 0.050% of the Company's voting issued share capital.

Prof. Dr. Krueger's total interest in shares following these notifications is 35,427 Ordinary Shares which equates to 0.035% of the Company's voting issued share capital.
