NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Mr. Allan Edward Cook CBE, a director and person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 12 February 2016 that on this day in London his wife, Mrs. Kathleen Cook, purchased 4,300 ordinary shares of 0.5 pence each ("Ordinary Shares") in the Company at £11.55 per share. The acquisition of 4,300 Ordinary Shares equated to 0.0043% of the voting issued share capital.
Mr. Cook's total interest in shares following this notification is 21,442 Ordinary Shares, representing 0.0214% of the voting issued share capital of the Company.
This notice is given in fulfillment of the obligations under DTR 3.1.4R (1).
