Restriction on New Share Authorities
Pentagon Protection Plc (AIM PPR) announces that it has informally discussed with certain shareholders the new share authorities to be proposed as resolutions 5 and 6 at the Annual General Meeting ('AGM') to be held at 2.00 p.m. on 16 April 2012 at the offices of Nabarro LLP, Lacon House, 84 Theobald's Road, London WC1X 8RW.
Following such discussions, the Board of Directors confirm that following the passing of the resolutions numbered 5 and 6 respectively, as set out in the Notice of AGM, they will, notwithstanding the authorities granted by such resolutions, limit the authorities to allot new ordinary shares and disapply pre-emption rights to 35% of the Company's current issued ordinary share capital immediately following the approval of the Share Capital Consolidation (as defined in the Circular sent to shareholders dated 8 March 2012) without seeking further authority from shareholders.
The Directors urge shareholders to vote in favour of the resolutions bearing in mind the above confirmation and would remind shareholders that they have until 2.00 p.m. on 14 April 2012 to complete and return proxy forms to the Company's Registrar in respect of the AGM.
