Director/PDMR Shareholding / Total Voting Rights
Microgen plc (LSE: MCGN), a leading provider of business critical software and services, provides notification that on 16 March 2017, following the exercise by a number of the Company's Executive Directors of options under the Microgen Plc Performance Share Plan 2006 ("PSP"), 780,618 new ordinary shares of 6 3/7 pence each in the Company ("Ordinary Shares") have been issued. The issued Ordinary Shares were admitted to the Official List of the UKLA and to trading on the main market of the London Stock Exchange on 25 November 2016.
Each of the Executive Directors named below exercised options over the number of Ordinary Shares specified below on 16 March 2017 with an exercise price per Ordinary Share of £0.05. The options had an expiry date of 18 November 2023.
Following the exercise of these options each Executive Director's overall shareholding in the Company has increased as set out in the following table. Each Executive Director also sold a number of the resulting Ordinary Shares on 16 March 2017 at a price of £2.70 per Ordinary Share, as set out below.

In accordance with DTR 5.6.1, the Company also announces that, following the transactions referred to above, as at today's date, its issued share capital comprises 60,771,938 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. The voting rights of all of the Ordinary Shares are identical. Shareholders may use this figure as the denominator for the calculation by which they will determine whether they are required to notify their interest in, or a change to their interest in, Ordinary Shares in Microgen under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
The notification below, made pursuant to Article 19 of Regulation (EU) No 596/2014 on Market Abuse, provides further information about these transactions.
