Results of General Meeting, Issue of Shares and Exercise of Options

The Company is pleased to confirm that at the general meeting of the Company held this morning, all the resolutions proposed in the Notice of EGM, details of which were set out in the circular to shareholders dated 29 May 2013, were duly passed. The resolutions were in relation inter alia to the acquisition of the remaining 49 per cent. of the issued share capital of Minimise Limited not currently owned by the Company ("Acquisition"). In addition, the institutional placing to raise £3 million, announced on 23 May 2013, was conditional inter alia on completion of the Acquisition.

Accordingly, application has been made for the admission of 10,000,000 ordinary shares of 2p each in the Company ("New Ordinary Shares") in respect of the institutional placing and 12,051,947 New Ordinary Shares in respect of the Acquisition, to trading on AIM.

Furthermore, the Company announces that, following the exercise of share options, application has been made for the admission of 159,450 New Ordinary Shares to trading on AIM.

The New Ordinary Shares will rank pari passu in all respects with the existing ordinary shares. It is expected that admission will occur at 8.00 a.m. on Wednesday 26 June 2013.

Following admission of the New Ordinary Shares, the total number of voting rights in the Company's ordinary shares will be 52,683,647. APC does not hold any ordinary shares in treasury.

The aforementioned figure of 52,683,647 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, APC under the Financial Service Authority's Disclosure and Transparency Rules.
