Amino Technologies plc (LSE: AMO), the Cambridge-based broadband network software and systems group, announces that the following transactions have taken place in respect of the Company's ordinary shares of 1p each ("Ordinary Shares").
Mr Andrew Burke
Following his appointment on 9 June 2008 as Chief Executive of Amino, Mr Andrew Burke acquiredย on 10 June 2008ย an interest inย 90,434 Ordinary Shares in the Companyย at a price of 55ย penceย per Ordinary Share. Following this transaction, Mr Burkeย hasย anย interestย inย 90,434ย Ordinary Sharesย (representing approximately 0.16 per cent. of the issued ordinary share capital of the Company).
Onย 9ย June 2008,ย Mr Burke was given a conditional share grantย ofย 1,738,892ย Ordinary Sharesย at nil costย (representing approximately 3.00 per cent. of the issued ordinary share capital of the Company) andย options overย 1,159,261ย Ordinary Shares (representing approximatelyย 2.00ย per cent. of the issued ordinary share capital of the Company)ย exercisable at 150 pence per share.ย ย Both grants areย subject toย achievingย performanceย conditionsย designed to significantly enhance shareholder value.ย
Mr Bob Giddy
Following his transition from Chief Executive, also announced on 9 June 2008, Mr Bob Giddy acquiredย on 10 June 2008ย an interest in 216,181 Ordinary Sharesย (representing approximately 0.37 per cent. of the issued ordinary share capital of the Company)ย at a price of 55p per Ordinary Share. Mr Giddyย also exercised and sold hisย optionsย over 1,029,116 Ordinary Sharesย (representing approximately 1.78 per cent. of the issued ordinary share capital of the Company)ย on 10 June 2008ย at a price of 55ย penceย per Ordinary Share. Following theseย transactions, Mrย Giddy has anย interest inย 216,181ย Ordinary Sharesย (representing approximately 0.37 per cent. of the issued ordinary share capital of the Company).
Onย 10ย June 2008,ย Mrย Bob Giddyย was grantedย options overย 500,000ย Ordinary Shares (representingย approximatelyย 0.86 perย cent. of the issued ordinary share capital of the Company)ย exercisable atย 54.5ย pence per share, being the closing mid-market price per share on 6 June 2008,ย whichย are fully vestedย and further options over 100,000 Ordinary Shares (representing approximately 0.17 per cent. of the issued ordinary share capital of the Company) are exercisable at 62 pence per share and the vesting of these optionsย areย subject toย theย achievement of performance conditions.
Employee Benefit Trust
Amino'sย Employee Benefit Trustย acquiredย on 10 Juneย 2008ย an interest inย 2,049,335 Ordinary Shares in the Companyย (representing approximatelyย 3.54ย per cent. of the issued ordinary share capital of the Company)ย at a price of 55p per Ordinary Share, in respect of its provisions relating to the Company's Employee Share Option Schemes.
