APPOINTMENT OF CHAIRMAN

Aldermore Group PLC is pleased to announce the appointment of Pat Butler as a Non-Executive Director with effect from 1 January 2018 and as Chairman designate. Pat will also be appointed as a Non-Executive Director and Chairman designate of Aldermore Bank PLC.

On 8 December 2017 shareholders voted in favour of accepting FirstRand's offer for the Company. To provide continuity through the ensuing process, it is expected that Pat's appointment as Chairman will take effect following completion of the acquisition. On appointment as Chairman, Pat will also chair the Corporate Governance and Nomination Committee, and be appointed as a member of the Remuneration Committee.

Pat brings extensive financial services experience to the Board, gained through both his executive and non-executive careers. Pat currently serves as an independent Non-Executive Director of Bank of Ireland Group PLC and Bank of Ireland (UK) PLC, where he chairs the Remuneration Committee; of Hikma Pharmaceuticals PLC, where he is Chairman of the Audit Committee; and of the Ardonagh Group Limited, where he chairs the Risk Committee.

He was previously a Partner at The Resolution Group, which conducts investment and restructuring activities in financial services. He also chaired the Investment Committee of British Business Bank Investments Ltd, which is the commercial arm of British Business Bank.

Pat previously spent a number of years at McKinsey & Company, where he held senior roles including leading the Europe, Middle East and Africa Retail Financial Services Practice.

Danuta Gray will continue in her role as Interim Chairman until the effective date of Pat's appointment as Chairman, at which point she will resume her role as Senior Independent Director of the Board with effect from the same date.
