Asian Growth Properties Limited27 February 2008 27 February, 2008 ASIAN GROWTH PROPERTIES LIMITED CHANGE OF A DIRECTOR'S DEEMED SHAREHOLDING INTEREST The board of directors of Asian Growth Properties Limited (the "Company") (AIMStock Code: AGP), the Hong Kong based China property development and investmentcompany, announces that the Company received notification of the change of thedeemed shareholding interest of Mr. Lu Wing Chi ("Mr. Lu"), an executivedirector of the Company, in the ordinary shares of US$0.05 each in the Company("Shares") today as follows: 1. Mr. Lu and the persons connected with him are presently deemed to bebeneficially interested in 243,414,280 Shares which represent about 27.46% ofthe existing issued share capital of the Company as a result of Nan LuenInternational Limited ("NLI") increasing its shareholding interest on 21stFebruary, 2008 in S E A Holdings Limited ("SEA"); 2. SEA is beneficially entitled to, in aggregate, about 97.17% of the existingissued share capital of the Company; 3. Mr. Lu is deemed interested in the Shares by virtue of (i) his 6.52% directshareholding interest in JCS Limited ("JCS"), (ii) him being a discretionarybeneficiary of a discretionary trust which owns 26.09% of the issued shares ofJCS, and (iii) his 30% direct shareholding interest in NLI. JCS is interested in63.58% of the issued shares of NLI; and 4. Immediately before 21st February, 2008, NLI was interested in 51.99% of theissued shares of SEA. On 21st February, 2008, through the exercise of rightsattached to certain 2008 warrants of SEA owned by NLI, NLI increased itsshareholding in SEA to 55.71%. As a result, Mr. Lu is deemed to have increasedhis beneficial interest in Shares from 225,937,363 Shares (approximately 25.49%of the issued share capital of the Company) to 243,414,280 Shares (approximately27.46% of the issued share capital of the Company).
