Grant of Options
Applied Graphene Materials (LSE: AGM), the producer of specialty graphene materials and dispersions, announces that a total of 1,708,549 options over ordinary shares of 2 pence each in the Company were granted on 10 January 2022 to certain of the Company's Directors and Persons Discharging Managerial Responsibilities ("PDMRs") under the terms of the Company's Non-Approved Executive Option Scheme ("Non-Approved Scheme") as follows:

The vesting of the Non-Approved options is subject to the relative performance of the Company's share price compared to the FTSE AIM All Share Index, for the three-year period from 30 November 2021 to 30 November 2024.
In the event that the Company's share price performs better than the FTSE AIM All Share Index, for the performance period, then 25% of the options will vest. Further vesting will be dependent upon the extent to which the Company's share price outperforms the FTSE AIM All Share Index, with full vesting arising for performance exceeding the benchmark by 25%. Percentage vesting is weighted towards the upper parts of the vesting scale.
In each case, performance will be measured using the one-month average share price and FTSE AIM All Share Index value in the period prior to the start and end of the performance period, being 30 November 2021 to 30 November 2024. The starting one-month average share price and FTSE AIM All Share Index value, in respect of options granted, were £0.2702 and 1,226.75 respectively.
Subject to vesting, the options would be exercisable in the period between 30 November 2024 and 10 January 2032. Nil consideration is payable in respect of either the grant or exercise of these options. The options granted in January 2019 and July 2019 have lapsed as the relevant performance criteria were not achieved.
A further 105,756 options over ordinary shares were granted to certain of the Company's other employees, which will vest on the date of announcement of the interim results for the six months ending 31 January 2025, subject to the recipients' continuing employment by the Company on that date.

Applied Graphene Materials - For the last decade, AGM has been at the forefront of harnessing the possibilities of graphene.
