("Amiad" or "the Company") Directorate Change Amiad announces that, at the Extraordinary General Meeting held today, each ofthe resolutions set out in the notice sent to shareholders and holders ofdepository interests on 28 December 2008 was duly passed, including theresolution electing Mr Tal Yeshua as a non-executive director of the Companywith immediate effect. Mr Yehua replaces Mr Yosef Rokah, whose resignationbecame effective at the conclusion of today's Extraordinary General Meeting. Mr Yeshua, aged 50, is currently the Chairman of Asiv Textile Industries Ltd.,Termokir Industries (1980) Ltd., Liam-Tnuvot Ltd. and the appointed committee ofKibbutz Horshim in Israel. He was previously a director of Agrical Habonim Industries Ltd., AradTechnologies Ltd., S.H.R. Ltd., Mifne Ltd., Kibbutz Tel Katzir, Kibbutz Eilon,Kibbutz Hefetz Haim, Kibbutz Habonim, Kibbutz Ramot Menashe, Kibbutz Givat Ozand Kibbutz Ratamim. Mr Yeshua has a Certificate in Business Management from The Negev College,Israel and a Degree in Practical Computer Engineering from the Ruppin AcademicCenter, also in Israel. The Board of Amiad does not regard Mr Yeshua as being an independentnon-executive director for the purposes of the Combined Code on CorporateGovernance. Mr Yeshua does not hold any shares in the Company. The board of directors of the Company believes that Mr Yeshua's extensiveexperience as a board member of various Kibbutz companies and Kibbutzim will bebeneficial to the Company. There are no further details specified by paragraph (g) of Schedule Two to theAIM Rules for Companies to be disclosed in respect of Mr Yeshua.
