Issue of Equity

CEB Resources plc (AIM: CEB), the mining projects investment company, announces that it has reached an agreement to issue 29,182,675 new ordinary shares in CEB (the "New Ordinary Shares") to YA Global Master SPV Ltd ("YAGM") in settlement of £46,896.56 owed to YAGM under an equity swap agreement, details of which were announced on 12 March 2014 (the "Equity Swap Agreement"). The shares were issued to YAGM at a price of 0.1607 pence per share, which is the volume weighted average price of the Company's shares from 1 April 2015 to 13 April 2015.

Application will be made to the London Stock Exchange for the admission of the New Ordinary Shares to trading on AIM ("Admission") and it is expected that Admission will occur and that trading in the new ordinary shares will commence at 8.00 am on 17 April 2015. The New Ordinary Shares will rank pari passu in all respects with the Company's existing issued ordinary shares.

Following Admission of the New Ordinary Shares the Company will have an enlarged issued share capital of 261,897,303 ordinary shares (the "Enlarged Issued Share Capital"). YAGM will subsequently be interested in 36,079,225 ordinary shares in the Company, representing approximately 13.78 per cent. of the Enlarged Issued Share Capital.
