Clean Energy Brazil PLC, an investment company focused onΒ Brazil's sugar cane/ethanol industry, announces itsΒ unaudited interim financial results for the six months ended 31 October 2008.

Β Β Business update

At the end of the period under review, Clean EnergyΒ BrazilΒ held a 49% stake in Usaciga and a 33% stake in UnialcoΒ MS. In addition, the Company ownedΒ outrightΒ theΒ greenfieldΒ sites of Pantanal and Agua Limpa.

OurΒ investeeΒ companiesΒ substantially increased their cane crushing activities over the period,Β withΒ double digit growth in cane crushed at UsacigaΒ and good growth at Alcoolvale (part of UnialcoΒ MS). Despite this improvement,Β theΒ adverse effects of the credit crunch on the wider economy in 2008, leading to inflatedΒ productionΒ costs, reducedΒ sugarΒ prices andΒ recent dollar appreciation, mean that both Usaciga and UnialcoΒ MSΒ incurredΒ significant losses.

As aΒ furtherΒ result of the credit crunch currently affecting projects globally, our managers took the prudent decision to freeze the expansion of newΒ greenfieldΒ sites. These include the Rio Parana development (Usaciga), Dourados (UnialcoΒ MS) and Pantanal and Agua Limpa (CEB).

As previously announced, Usaciga has been supported by leading advisory firm, AlvarezΒ &Β Marsal, in renegotiating its debt and in exploring other options to solve its cash constraint problems. This resulted from having invested working capital inΒ aΒ greenfieldΒ development withoutΒ havingΒ financingΒ in place. Recently, Usaciga's managementΒ decided to extend the cane crushing period to the end of January 2009 due to favourable weather conditions. This meant thatΒ an extra 200,000 tonnes of cane than originally anticipatedΒ wereΒ harvested for crushing. Meanwhile, taking account of trading and current market conditions, we have decided to maintain theΒ carryingΒ value of this assetΒ in our balance sheetΒ at US$50.0Β million.

Although Alcoolvale's operational performance was good, the credit constraintsΒ encounteredΒ in expanding UnialcoΒ MS's DouradosΒ greenfieldΒ project haveΒ Β led managementΒ to look for alternative solutions. Even though theΒ 20%Β minority shareholder of DouradosΒ granted security overΒ his farms as guarantee underΒ theΒ senior debt structure supportingΒ theΒ Dourados financing, the R$49.0Β millionΒ (US$20.8Β million)Β released by Banco do Brasil is not enough toΒ complete theΒ entire project development. As a result, UnialcoΒ MS's managementΒ isΒ seeking alternative funding solutions. In the meantime,Β Dourados continues its agricultural activity andΒ isΒ estimatedΒ toΒ haveΒ suppliedΒ a total ofΒ 1.0Β million tonnes of cane to third party sugar mills during 2008.

Despite the unparalleled nature of the financial crisis that escalated in 2008, the sugar and ethanol markets areΒ expectedΒ toΒ startΒ recoveringΒ duringΒ theΒ secondΒ halfΒ of 2009.Β It seems, however,Β thatΒ in the short termΒ BrazilΒ may experienceΒ reducedΒ growth ratesΒ inΒ production forΒ both products and there may be an imbalance between supply and demandΒ leading to aΒ shortageΒ ofΒ sugarΒ and ethanolΒ inventoriesΒ over the near term. Brazilian domestic ethanol consumption is still growing, driven by flex-fuel automotive sales,Β which from January to November 2008 totalledΒ about 94% of totalΒ automotiveΒ salesΒ according to the National Car Manufacturers'Β Association (ANFAVEA).

OperationalΒ review

During the six month period endingΒ 31Β October 2008, Clean EnergyΒ BrazilΒ continued to execute its strategy ofΒ supportingΒ its investments and strengthening its operational model.

The industry, together with the difficult financial markets,Β continuesΒ to present a challenging scenario.Β Β As a result, ourΒ operatingΒ assetsΒ haveΒ continuedΒ toΒ come underΒ pressure. In response to this,Β CEB has taken the following actions:

The expertise of Merrill LynchΒ has beenΒ made available to ourΒ investee companiesΒ for assistance whereΒ required.

TheΒ outsourcing ofΒ our accountancy services to Deloitte from 1 January 2009 to provide increased accuracy, timely reporting and expertise with IFRS rules,Β which areΒ currently being adopted acrossΒ Brazil.

IndependentΒ reviews ofΒ quarterly financial statements ofΒ Usaciga and Unialco MSΒ to beΒ conducted byΒ KPMG to increase accuracy and transparency.

The concentration of all CEB operationsΒ inΒ ourΒ SΓ£oΒ PauloΒ office,Β following theΒ closure of ourΒ regional office inΒ RibeirΓ£oΒ Preto.

The Company continuously evaluates its organisational structure.Β Β In April 2008Β we madeΒ the transition to a self-managed investment companyΒ and in JanuaryΒ 2009Β we appointedΒ an Accounting Manager to supportΒ theΒ continuous monitoring ofΒ ourΒ assets. We believe that theseΒ structural and organisational changes will provide the necessaryΒ resources and expertiseΒ to guide the Company through the period ahead.

Usaciga

Over theΒ six months ended 31 October 2008, Usaciga crushed a total of 1.4 million tonnes of cane. This represents an increase of 14% over the prior year period. Following the period end, the crushing season was extended due to favourable weather conditions, resulting in an additional 200,000 tonnes of caneΒ beingΒ crushed. SalesΒ during the periodΒ reached R$70.6Β millionΒ (US$41.0Β million), a 38% increase overΒ the first half ofΒ 2007.Β Β The increase is due to a higher volume of ethanol sales, resulting in a 51/49%Β ethanol/sugarΒ sales mix (versus 30/70% in H1 2007). SugarΒ salesΒ volumes for the period reached 65,000 tonnes, 4% lower than last year.

Despite the higherΒ overallΒ sales, substantially higher production costsΒ resulted inΒ aΒ reduction in overall marginsΒ and the EBITDA for the period of R$3.2 million (US$1.9 million) was lower than the R$7.2 million (US$3.8million) achieved in H1 2007.Β Β Net financial expensesΒ amounted toΒ R$49.0Β millionΒ (US$29.0Β million)Β as the total debt level increased to R$236.9Β millionΒ (US$111.8Β million),Β including R$116.0Β millionΒ (US$54.7Β million)Β arisingΒ fromΒ expenditure onΒ the Rio ParanaΒ greenfieldΒ site,Β andΒ exacerbated by the devaluation of the local currency.

The above factors resulted in aΒ netΒ lossΒ at UsacigaΒ of R$65.1Β millionΒ (US$38.0Β million)Β for the period.

At 31 October 2008: R$110.3Β million (US$Β 52.0Β million) of Usaciga's total debt was non-current and R$126.6Β million (US$59.7million) was current;Β cash was R$3.7 million (US$1.7Β million);Β net current liabilities were R$103.0 million (US$48.6Β million); and shareholders' funds were R$76.5 million (US$36.0Β million). Usaciga continues to require debt restructuring and further funding in order to meet its current and future obligations to creditors. The efforts to resolve theseΒ funding requirements continue with the assistance of AlvarezΒ &Β Marsal, and the Rio ParanaΒ greenfieldΒ developmentΒ remainsΒ on hold.Β Β As reported during the period, co-owners Agrocana and CEB have decided to explore all strategicΒ optionsΒ in relation to Usaciga, including a potential sale of the business.Β Β These efforts continue to advance and substantial progress is being made.Β Β The extension ofΒ caneΒ crushing activities to January 2009,Β which resulted inΒ an additional 200,000 tonnes, is providing additional cash to the operation.Β Β We have decided to maintainΒ anΒ asset value of US$50.0Β million.Β Β We continue to believe that the operating sugar mill of Cidade Gaucha with its co-generation plant, the partially completedΒ greenfieldΒ siteΒ of Rio Parana and the logistic assets ofΒ theΒ PASA and CPA terminals are outstanding operating assets.Β 

UnialcoΒ MS

During theΒ six monthsΒ endedΒ 30 September 2008,Β AlcoovaleΒ increased its caneΒ crushingΒ activities to 1.25 million tonnes, upΒ 6%Β onΒ the same periodΒ last year.Β Β ThisΒ resulted in ethanol sales increasing from 42,000mΒ³Β to 54,000mΒ³,Β a 28%Β rise onΒ the same period last year.Β Β SugarΒ production, on a year-to-date basis, fellΒ 5%Β to 68,000 tonnes.Β Β Total sales for the period increased byΒ 41% to R$89.7Β millionΒ (US$54.2Β million)Β with the ethanol participation in the mix reaching 54% (versus 47%Β during H1Β 2007).Β Β Higher production costs reducedΒ EBITDAΒ by 22%Β toΒ R$14.0Β millionΒ (US$8.5Β million),Β and higher finance expensesΒ of R$7.8 million (US$4.0Β million) contributed toΒ aΒ net loss ofΒ R$21.5Β millionΒ (US$13.0Β million)Β for the period.

At 30 September 2008: UnialcoΒ MS had total debt of R$67.9 million (US$35.7Β million) of whichΒ R$14.4Β million (US$7.6Β million) was non-current and R$53.5Β million (US$28.2Β million) was current;Β cash was R$1.5Β million (US$0.9Β million); net current liabilities were R$48.7Β million (US$25.6Β million); and shareholders' funds were R$133.8Β million (US$70.4Β million).Β 

The DouradosΒ greenfieldΒ projectΒ (withΒ anΒ expected crushing capacity of 2.5 million tonnes)Β continues to be on hold.Β Β Although progress is being made, the conclusion of project financing continues to be elusive.Β Β The delay in financing has already pushed backΒ byΒ a year the start-up date of theΒ greenfieldΒ siteΒ (2010/2011) and is increasing the possibility ofΒ furtherΒ delay.

Pantanal and Água Limpa

As previouslyΒ announced,Β the development plans for these CEB-controlled projects have been put on hold.Β Β Minimum investment is being made to maintain these projectsΒ whileΒ all strategic alternatives are beingΒ investigated.

FinancialΒ results

Income during the six month period at the holding company level consisted of bank interest of US$1.1 million.Β 

Operating expenses of US$2.8Β million consistedΒ of administrative fees and pre-operational costsΒ in relation to CEB'sΒ greenfieldΒ projects.

CurrentΒ widerΒ industry conditions and debt markets continue to be very challenging.Β Β This has resulted in loweringΒ the value ofΒ sugar and ethanol assetsΒ across the board.Β Β This, combined with the continued delays in the development of the DouradosΒ greenfieldΒ site, has led the Board to take a conservative approach to the valuation of UnialcoΒ MS. As we have done at Usaciga, we have based our valuation on market multiples of cane crushing capacity and realisable values of assets rather than on a traditional discounted cash flow basis. Therefore, the Board has written down the value of its investment in UnialcoΒ MSΒ by US$23.0 million to US$43.8 million.

The strengthening of the US dollar versus the British Pound (16.5%) and the Brazilian Real (24.5%) resulted in a foreign exchange loss of US$3.9 million.

The result for the period is a loss of US$29.0 million.Β 

The Company ended the period with US$30.2 million of cash (of which US$6.7 million is held in escrow and may in due course be payable to Usaciga pursuant to the December 2006 investment agreement between CEB, Usaciga and the Barea family).Β Β Currently, the Company's cash balance stands at approximately US$27.4 million, which includes the above mentioned escrow.Β In September of 2008 we announced that we had contracted Merrill Lynch to assist us withΒ aΒ fundraising. Currently this effort is on hold, pending improvement in the financial markets.

Outlook

Given the current economic outlook, we cannot expect our investee companies to make anΒ earlyΒ return to profitability. The industry as a whole continues to face challenges which have been exacerbated by the financial crisis. Current low sugar prices and limited credit are overshadowing the positive benefits of the growing ethanol market, a weak Real and falling fertiliser costs.

However, the fundamental drivers for long term investment in Brazilian sugar and ethanol remain positive. While the near term outlook for the industry remains challenging, those companies that are able to adapt and meet these challengesΒ shouldΒ be able to deliver attractive returns over the mid to long term. As described, CEB is actively taking measures to put the Company in the best possible position.

1. General information

The Company is a closed-end investment company incorporated on 19 September 2006 in theΒ Isle of ManΒ as a public limited company. The address of its registered office is IOMA House,Β Hope Street, Douglas, Isle of Man.Β 

The Company is listed on the AIM marketΒ of the London Stock Exchange.

The condensed consolidated financial information comprises the results of the Company and its subsidiaries (together referred to as the "Group") and is unaudited.

2. Accounting policies

Basis of preparation

This condensed interim financial information for the period ended 31 October 2008 has been prepared in accordance with IAS 34, Interim Financial Reporting and on a basis consistent with the accounting policies set out in the Company's audited annual report and accounts for theΒ yearΒ endedΒ 30 AprilΒ 2008.

The financial information has been presented in US Dollars.

Investments

TheΒ GroupΒ has designated its investments as at fair value through profit or loss on initial recognition. The portfolio investments of the Company are initially recognised at cost as of the date of investment. The portfolio's unquoted investments are subsequently re-measured at fair value at least every six months by the Directors using the most appropriate valuation techniques. Unrealised gains and losses arising from the revaluation of investments are taken directly to the Income Statement.

No segment reporting is provided as the Group is engaged in only one business sector and geographic location.

3. Basic and diluted loss per share

Basic loss per share is calculated by dividing theΒ net loss attributable to shareholders by the weighted average number of ordinary shares outstanding during the periods.

The Company has no dilutive potential ordinary shares, as the market price of the shares has been lower than the exercise price of the warrants throughout the period. Therefore the diluted loss per share is the same as the basic loss per share.

Both investments are considered to be joint ventures. They are, however, not equity accounted, but designated as held at fair value through profit or loss in accordance with a permitted exemption under IAS 31. Both investments are stated at fair value, as estimated by the Directors.Β 

The valuations are based on a multiple of the cane crushing capacity, using recent industry transactions and public data to arrive at the multiple, and on market data for land values.

5. EscrowΒ account

Under the terms of the Investment Agreement with Usaciga - Açucar,Álcool E Energia Elétrica SA, an escrow account was established to protect the Company against certain possible liabilities. At 31 October 2008 $6.6 million (30 April 2008: $6.6 million) was held in the escrow account and is included within cash and cash equivalents on the balance sheet. The amount is due to be released in fixed annual instalments up to 2013.

Agricultural assets consist of approximately 2,500 hectares of sugar cane all of which haveΒ been planted in the past eighteen months. During the period the Group did not harvest any of this crop. TheΒ DirectorsΒ estimate that the fair value of the cane crop is equivalent to cost.

The Group has capital commitments of $6.6 million in respect of capital expenditures contracted for at the balance sheet date but not yet incurred, for completion of the investment in Usaciga - Açucar,Álcool E Energia Elétrica SA. This is covered by the escrow account as described in note 5.

9. Related party transactions

There are no transactions carried out with related parties for theΒ six monthsΒ ended 31 October 2008 except the following:

Czarnikow Group Limited holds 3.83% of the shares of the Company and receives fees from Usaciga and Unialco for acting as a physical offtaker of sugar and ethanol and other services.

Marcelo Junqueira is a director of the Company and of Agrop Servicos Agricolas Ltda. Agrop received fees of $1.6 million in the period for agricultural services provided to some of the Company's Brazilian subsidiaries.

Philip ScalesΒ is a director of the Company and of the Administrator. The Administrator received fees of Β£62,500 in the period.

Introduction

We have been engaged by the Company to review the condensed set of financial statements in the half-yearly report for the six months ended 31 October 2008, which comprises the consolidated income statement, the consolidated balance sheet, the consolidated statement of changes in equity, the consolidated cash flow statement and the related explanatory notes. We have read the other information contained in the half-yearly report and considered whether it contains any apparent misstatements or material inconsistencies with the information in the condensed set of financial statements.

This report is made solely to the Company in accordance with the terms of our engagement. Our review has been undertaken so that we might state to the Company those matters we are required to state to it in this report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the Company for our review work, for this report, or for the conclusions we have reached.

Directors' responsibilities

The half-yearly report is the responsibility of, and has been approved by, the Directors. The Directors are responsible for preparing the half-yearly report in accordance with the AIM Rules.

The annual financial statements are prepared in accordance with IFRS. The condensed set of financial statements included in this half-yearly report have been prepared in accordance with IAS 34Β Interim Financial Reporting.

The accounting policies that have been adopted in preparing the condensed set of financial statements are consistent with those that the Directors currently intend to use in the next annual financial statements.

Our responsibility

Our responsibility is to express to the Company a conclusion on the condensed set of financial statements in the half-yearly report based on our review.

Scope of review

We conducted our review in accordance with International Standard on Review Engagements (UKΒ andΒ Ireland) 2410 Review of Interim Financial Information Performed by the Independent Auditor of the Entity issued by the Auditing Practices Board. A review of interim financial information consists of making enquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with International Standards on Auditing (UKΒ andΒ Ireland) and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.

Conclusion

Based on our review, nothing has come to our attention that causes us to believe that the condensed set of financial statements in the half-yearly report for the six months ended 31 October 2008 is not prepared, in all material respects, in accordance with IAS 34 and the AIM Rules.Β
