China Private Equity Investment Holdings Limited

("CPE" or the "Company")

Co-investment plan with Adamas Asset Management (HK) Limited

In line with developing strategic partnership agreed last November between CPE and the Hong Kong based investment management firm, Adamas Asset Management (HK) Limited ("Adamas"), the Board of Directors of CPE (the" Board") plans to embark on a co-investment programme. CPE and Adamas plan to co-invest jointly a total of up to US$20m over a seven year period in opportunities predominately in income-generating assets in Greater China. To support this programme, the Company plans to raise additional new capital in tranches of US$5m via placings, in due course.

To compensate Adamas for creating the opportunity for CPE to participate in the co-investment programme and for assisting in the proposed fundraising programme, the Board has agreed to grant Adamas options over 1.5 million ordinary shares of CPE (the "Options").

The Options will be issued on 12 July 2013 in two tranches, as follows:

·; 750,000 at an exercise price of 10c; and

·; 750,000 at an exercise price of 15c.

The Options will be exercisable immediately and will be exercisable for a period of three years from the date of issue. Following the issue of the Options, Adamas will own 2,399,483 ordinary shares in the Company representing 1.86% of the current issued share capital of CPE and will have options over 2.25 million ordinary shares of CPE.

With this new co-investment programme and the proposed fundraising we are taking an important first step intended to increase our exposure to income-generating asset ownership while further strengthening the ties between CPE and Adamas."
