Announcement - The Certificate Evidencing Payment for New Shares by Cash Injection for Year 2014 to Be Delivered and Listed

1. The Board of Directors approved to raise NTD3,000,000,000 through an issue of 300,000,000 new common shares based on par value of NTD 10 per share via cash capital increase which was effective on 21 October 2014 by Order No. Financial-Supervisory-Securities-Issue-1030039103, R.O.C. Financial Supervisory Commission.

2. The relevant announcements regarding the capital increase are as follows:

2.1 Original outstanding shares and the amount per share:

The outstanding and registered shares are 2,796,567,828 shares for NTD27,965,678,280 at par value of NTD10 per share.

2.2 The new shares issued by capital increase:

NTD3,000,000,000 with 300,000,000 new shares issued in certificate evidencing payment.

2.3 Newly issued shares and the amount per share:

The paid-in capital are NTD30,965,678,280 with3,096,567,828 shares, the certificate evidencing payment for shares are included, in issue of NTD10 each.

2.4 The rights and obligations of the certificate evidencing payment for new shares from the capital increase are identical to those of original outstanding shares.

2.5 Certification of securities: The new shares are issued by scripless book-entry.

3. Securities distribution:

On Wednesday, 11th February 2015, the certificate evidencing payment for shares by cash injection to be listed and delivered to subscriber's appointed securities account. No physical certificates  be issued or exchanged to subscribers.

4. Within 30 days from the date on which the "Change Registration" to be approved by the Competent Authority, the new shares by scripless book-entry transfer shall be carried out and the aforesaid certificate evidencing payment for shares shall be replaced and wrote off. For whom fail shares-delivering due to have no securities account, please open an account and contact the Company with filling application form of shares transferring which mailed by the Company and the process will be conducted accordingly.
