Director/PDMR Shareholding Notification
Cambridge, UK: Abcam plc (AIM: ABC), a global leader in the supply of life science research tools, was notified on 19 September 2016 that on that date Dr. Jonathan Milner, a Non-Executive Director of the Company and persons closely associated with Dr. Milner, namely Dr. Milner's wife (Roza Gounaris-Milner) and The Dr J S Milner Accumulation and Maintenance Trust and The Evolution Education Trust, of each of which Dr. Milner is a trustee, carried out the following transactions in Abcam's shares:
· The exercise of 20,361 options by Dr. Milner over 20,361 ordinary shares of 0.2 pence each in the Company ("Ordinary Shares") at an exercise price of 0.2 pence per share and the subsequent sale of the resulting Ordinary Shares at 819.7618 pence per share;

· A transfer by Dr. Milner of 215,000 Ordinary Shares for nil consideration to The Evolution Education Trust of which he is a trustee; and

· A sale, in aggregate of 1,310,370 Ordinary Shares held by Dr. J S Milner Accumulation and Maintenance Trust, Dr. Milner's wife (Roza Gounaris-Milner) and the Evolution Education Trust at a price of 803.88 pence per Ordinary Share
Dr. Milner intends to use the proceeds from the sale for charitable donations, private company investments and for tax and estate planning. Dr. Milner remains fully committed to the Company as an active member of the Abcam Board in his role as Deputy Chairman.
As a result of the transactions described above, Dr. Milner's total direct and indirect interest in the Company has decreased by 1,330,731 Ordinary Shares (including sale of the 20,361 Ordinary Shares resulting from the exercise of the share options referred to above) to a total of 21,994,934 Ordinary Shares, representing approximately 10.84% of the Company's issued share capital and he holds 20,361 fewer options over Ordinary Shares.
Dr. Milner's remaining direct and indirect interest in the Company is subject to a 12 month lock-up on customary terms.
