Director/PDMR Shareholding
Following notifications made in accordance with DR 3.1.4(R)(1)(a), 888 Holdings plc wishes to notify the following changes in the interests of persons discharging managerial responsibility ("PDMRs") in ordinary shares of 888 Holdings plc ("Shares") arising out of the operation of its 888 All-Employee Share Plan.
On 24 May 2011, options to purchase Shares at a nil exercise price ("Awards") were granted under the 888 All-Employee Share Plan to the following PDMR, as set out below. The numbers of shares stated are the maximum available to the PDMR.
The number of shares was based on the closing price of the Shares on the date of grant.

The Awards shall vest as follows:
Awards over 940,299 Shares will vest in accordance with the terms of the All Employee Share Plan, in four equal portions. The earliest date on which the PDMR will normally become entitled to the first 25% of such Awards is 24 May 2012 and a further twenty five per cent on each of 24 May 2013, 24 May 2014 and 24 May 2015.
Awards over 1,175,373 Shares shall vest upon the third anniversary of the date of grant, conditional on the achievement of performance criteria. The complete amount of Awards shall vest on 24 May 2014.
Awards over 470,149 Shares will vest in accordance with the terms of the All Employee Share Plan over a three year period. The earliest date on which the PDMR will normally become entitled to the first amount equal to 90% of the Awards is 24 May 2012, and an additional 5% shall vest on 24 May 2013 and 24 May 2014.
