UBC announces deal to consolidate interest in Audioboo Limited and issue of shares to Imagination Technologies
UBC Media Group ("UBC" or "the Company"), in partnership with Imagination Technologies Group PLC ("Imagination") (LSE: IMG), is pleased to announce that they have consolidated their interest in the mobile and web platform Audioboo Limited ("Audioboo").
As consideration for Imagination's current shareholding in Audioboo of 33.95 per cent., UBC has agreed to transfer to Imagination 13,580,811 ordinary shares of 1 pence each ("Ordinary Shares") currently held by the Company in treasury ("the Transfer"), representing 7.6 per cent. of UBC's issued share capital.
In addition, Imagination has purchased 3,000,000 new ordinary shares of 1 pence each in the share capital of the Company ("New Ordinary Shares") at a price of 2 pence per New Ordinary Share and has purchased 2,943,229 existing Ordinary Shares held by UBC in treasury at a price of 2.75 pence per share (together, "the Purchases").
Following the Transfer and the Purchases, Imagination will hold 19,524,110 Ordinary Shares, representing 9.8 per cent. of the issued share capital of the Company and UBC will hold approximately 40.3 per cent. of Audioboo.
Application has been made for 3,000,000 Ordinary Shares to be admitted to trading on AIM ("Admission"), and it is expected that Admission will occur on 15 June 2012. The New Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.
Following Admission, the Company will have 198,286,212 Ordinary Shares in issue with each share carrying the right to one vote. There will be no shares held in treasury. The total number of voting rights in UBC will therefore be 198,286,212. This number may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interesting, or a change in their interest in, UBC, under the Disclosure and Transparency Rules.
UBC has also published it Full Year Results for the year ended 31 March 2012 today.
