NOTICE OF INTENTION TO DELIST FROM THE LONDON STOCK EXCHANGE
£354,876,000 8.75 per cent. (previously 5.562 per cent.) First Mortgage Debenture Stock due 2027(the "Stock")
issued by
XPE GROUP PLC(the "Company")
(incorporated with limited liability in Englandand Wales with registered number 05890611)
The Company refers to the Stock (ISIN: GB00B1DBF788) which is admitted to listing on the Official List of the Financial Conduct Authority ("FCA") and to trading on the main market for listed securities of the London Stock Exchange (the "LSE").
Further to the Company's announcement of 12 December 2024 of the successful passing of the Extraordinary Resolutions set out in the notice of meeting of stockholders dated 15 November 2024, the Company hereby gives notice that, in an effort to streamline and simplify processes and increase administrative efficiencies, it has been requested that the FCA cancel the listing of the Stock on the Official List and the LSE cancel the admission to trading of the Company's Stock on the main market for listed securities of the LSE (the "Delisting").
In accordance with UK Listing Rule 21.2.17R, the Company is required to give at least 20 business days' notice of the intended Delisting. Accordingly, it is intended that the Delisting will become effective from 8:00 a.m. 16 January 2025, such that the last date of trading of its Stock on the LSE will be 15 January 2025.
The Delisting was approved by an Extraordinary Resolution of the holders of the Stock on 12 December 2024.
Following the Delisting, it will no longer be possible to trade the Stock on the LSE.
Any holder of Stock that has any questions in relation to the Delisting is recommended to consult their own investment adviser or broker.
