Why do you think the current board is unfit to run Tirupati?

We are concerned about the centralising power within the Poddar family and their circle.

• Mr. Poddar holds the dual role of Managing Director and Chairman.

• Mr. Poddar’s daughter, Puruvi Poddar, aged 27, is joint Managing Director.

• Alastair Bath, a 28-year-old associate employee, and staunch supporter of Mr. Poddar, is an executive director.

• There are no independent non-executive directors.

We believe that there has been minimal oversight over the operations.

• Mr. Poddar’s engagement with TG’s primary operations in Madagascar was limited to only two visits: the first occurring before the IPO in 2019, and the second in February 2024—five years later.

TG continues to face constant cash flow crisis affecting its staff, suppliers, and reputation.

• Despite GBP5 million being raised in 2021 to integrate the downstream business operations—also owned by the Poddar family—there been no progress on this front.

• There are significant signs that the company no longer has access to the London debt and capital markets.

Firstly I hold my hands up and acknowledge that my comment about the share price going to 1 pound should the meeting meet its objectives was somewhat overzealous of me. In hindsight I should have written the share price imho will be multiples of what it currently sits at. I say this as this is what I believe. 1. The money markets are not interested in lending to Shishir due to his track record. 2. Almost all shareholders are unhappy at the way the company is being run. 3. TSG has been stolen from us right under our own eyes. 4. All Promises of graphite output numbers has never come to fruition. 5. Promises of VAT return are NOT imminent. Management consists of 3 people, father and daughter and one sole guy not long out of college. 6. The company has now become a law onto themselves. Aside from the action being taken by the Twitter group which I have looked at and will copy and post what is being proposed when I have time, I am involved with a separate group of TGR investors who are actively taking the Poddars to court over their actions since TGR's inception. My motives are simple. I am a shareholder and my holding is down by a large amount. I do blame the actions of management for not all but a large part of his. I agree that almose every graphite company is down presently but TGR has been dragged down much further than any other share due imho to the actions of Shishir and his daughter. As a shareholder I have every right to voice my opinions to management which I have done, only to be met with either ignorance or unbelievable excuses. Info on the court case will be shared when available. DYOR

I say this again as some still think this is a coup to get rid of management...No one wants rid of Shishir. What investors want (myself included) is for the company to be run for all the shareholders and not just the poddar family. Anyone on here who disagrees is either a poddar parrot (yes I mean you saluc) or they are not invested. Forget the noise and ask yourself if the poddars have done a good job in running the company. If you answer yes then vote for them. If the answer is no then vote NOT for their removal but for the poddars to be held to account by TGR investors who have all shareholders interests at the forefront of every course of action they take. Shishir duped us all when he turned TSG into Parnagraf. This investigation will get to the truth and we will have our downstream TSG back. Shishir doesn't want that to happen as his family profits (which are the profits of all shareholders stolen by the poddars) will suffer. We all know this yet people on here will vote for shishir...why is that? There are a few on gere who are paid to trash anyones opinion that goes against their boss. Dyor

Saluc. have you got that pay raise from shishir yet? You seem to be doing overtime imagining all sorts of dreamy things. A conspiracy to remove Shishir? This is a shareholder vote to put the company back on the right path. This is an attempt to rectify the mess Shishir has put us in. No one can say he has done a good job. No one can say he knows how to run this company. He has had over 3 years and look at the share price!!! It speaks for itself. If he actually came through on even half of his promises them we would be over 80p now yet 94% of his predictions came to nothing because he was (like you) dreaming it all up. He has been out to Magagascar 2 TIMESin 5 YEARS!!! The second time was only last month. The reputation of this company has been destroyed by Shishir. He didn't need any help from shareholders to do what he has done to wreck the share price. He needs to be reigned in and watched and guided. He should be part of this company I totally agree - but not running it. That has been tried and it did NOT work and will not work. When something is broken you either fix it or replace it. We suggest we try fixing it. Vote and we get 4 people who will help guide Shishir and the company back to profitability. This is a no brainer. The 4 people are shareholders in TGR. They are doing what every serious shareholder should do to protect their investment. They are using their professional experience to help TGR get back to profitability. What can they possibly do to harm the company? They own shares ain TGR and they want a return on their investment like we all do. Dont dismiss them as you will be dismissing your our chance to at least get our investment back. DYOR

This meeting is NOT to remove Shishir and Puruvi. This meeting is to appoint 4 people to oversee how this company is being run. It will ultimately make sure Shishir stops lying to us all (imminently)and also stop him ftom selling shareholders graphite to himself. It will restore TSG. It will (if it succeeds)lift the share price by at least 10 fold imho. Shishir knows about graphite. He doesn't know how to run this company. He has tried and we at at 5p. What more needs to be said? We are also proposing to bring TSG back which would mean an end to pranagraf taking most of our graphite on the cheap and selling it on. Anyone who is not in favour of these changes is either a Shishir monkey or they are out to destroy shareholder value. The fact 2 of the non exec directors are prepared to return says it all...they were pushed out by Hitler.. by that I mean shishir of course since insuders tell us he has become a large headed egotistical ruler filled with self greed. Do some research .. and Saluc you should ask shishir for a pay rise since all the rubbish you dream up takes a fair bit of imagination...DYOR

This would be a godsend as Shishir would have to get OUR house in order and do it quickly. He has made far too many mistakes some of which he has repeated over and over. Either run the company for everyone who has invested in TGR or get out and let us pick our own leaders. Its that simple....Oh and it must be done IMMINENTLY!!!

While Harchris is reasonably confident Shishir will hit the targets he has recently set over the next 6 months we are SUPER confident shishir will not get anywhere near the targets he has set. REASON- he has never hit any target he has promIsed since inception. Let's just recap on TGR from the beginning of their inclusion onto the LSE. On Dec 14th 2020 Donald Leggatt interviewed Shishir for over 20 minutes. We managed to get the interview reposted on LSE (THANKS DONALD!) (so if you scroll up to MEDIA above on this page and click on the link that says MEDIA you will see 2 videos. Click on the one from December 14th 2020 and watch shishir tell Donald how TGR will spend the initial £6 million IPO RAISED FUNDS in 3 parts of the TGR COMPANY . TSG is in there and gets lots of funding from the initial raise yet we are not benifitting from this and never have been. So much so that shishir changed TSG TO Pranagraf (we looked the name up and it actually means "old " since Prana is the Hindi word for old. There is a lot of info in this maiden video of shishirs "flannel" where he tells a lot...and I mean a LOT of porkies pies...I suggest anyone who hasn't watched this interview to do so...especially new investors! I cant say how long it will ge available so view it so yoy know what our CEO is all about. This will give you all an idea of what was promised by shishir over 3 years ago in relation to what he has actually (and currently) succeeded in producing.... the answer is NOTHING. One week ago Shishir wrote -Establishment of working capital facilities from the Company's bankers in Madagascar being progressed supported by a personal guarantee being agreed to be provided from the Executive Chairman;

So he is prepared to pay all his workers salaries from his personal millions if the bank in Madagascar decided not to give credit. His workers are the ones who get the graphite out of the ground yet TGR as a company have no debt facility with Haritmay Ventures to supply The PCU's he himself says TGR desperately need in order to survive. How odd is that? He says once these PCU'S are in place production will ramp up very quickly yet he has not offered any help from Haritmay Ventures which he owns. Is it any wonder the share price is going south, AGAIN. He is taking all shareholders for fools. Something is being done and it does take time to get everything in order before he is summoned to court to answer to his (and puruvi's, and Harman's actions). Oh, and not forgetting Madhu poddars and Monisha Poddars behind the scenes actions. DYOR

Shishir can easily give good credit to TGR with his Haritmay Ventures Company so TGR can get the PCU's Shishir says they need.. I mean lets face he would be giving credit to himself! He owns both companies for crying out loud. Yet he has NOT offered this. WHY? Simple question is if you wanted TGR to succeed and you owned the the company that can provide the equipment your other company (TGR) needs in order to survive, wouldn't you give TGR credit? Instead he has let the share price slide and slide and slide. WHY? DYOR

ON 7TH MARCH PODDAR WROTE-Recent meetings with the Madagascar Government for the release of VAT refunds of c. $2m have further added confidence that these will be returned to the Company imminently.

Looking up the meaning of the word IMMINENTLY- COLLINS DICTIONARY TRANSLATES THE WORD TO MEAN "VERY SOON". One week has passed and as far as I know thats longer than very soon. Another lie? You decide. DYOR

It has been said so many times now that anyone invested in TGR should contact the company and demand an EGM as soon as possible. Every penny TGR makes gets eaten up by either Pranagraf or any one of the Poddars 7 other companies. Haritmay Ventures are waiting for the VAT refund to pocket. Again I say this ....if Shishir wanted TGR to succeed (and we all know Haritmay Ventures is owned by 3 Poddars, which excludes Hemant) he would provide the PCU's to TGR on a credit basis until such time as TGR gets on its feet. Truth is he has no intention of taking TGR off life support as he is more than happy with the current situation. Regardless of how many tons of graphite TGR digs out of the ground, he will never reveal the true amount. As Stevemc said today Pranagraf have effectively pocketed £100's of thousands from the discounts etc from TGR in the last year alone. This is Shishir's definition of a "Working relationship" with Pranagrf, which incidentally Puruvi Poddar is CEO. The 2 Poddars are running TGR into the ground are wrecking the company and both have a large smile on their face in our humble opinion. DYOR

Shishir is milking TGR dry. The PCU cost is as far as we know £1million (harchris correct me if more or less) and it will come from Hartimay Ventures -a company which belongs to the Poddar family. Now seriously if Shishir was interested in TGR becoming successful then why is he buying the PCU's from himself?? He could easily provide the units until TGR are on their feet and making profits before being paid for the units. Ask yourself why he has crippled TGR and the share price. DYOR

The reality is the share price climbed to its highest because every investor in TGR was under the impression that TSG and TGR were part of the same company. As soon as it was known that TSG were being killed off by the Poddars (for personal profit) the share price crashed to where it currently sits. TGR will never be profitable as long as the Poddars continue on their current course. They must combine TGR with the downstream (TSG). That’s why we invested in TGR. As soon as this happens this will re-rate to well above 70p. The longer the Poddars keep the two companies separate the longer we all see a depleted share price. And the closer we come to the Poddars taking TGR offline. DYOR

I suggest everyone read Stevemc's post yesterday at 08.32am - Very good research work you carried out over the weekend Stevemc and all TRUE. Your right in that its just the tip of the iceberg. We know what’s been happening for the last 2 plus years as regards where both the cash and graphite have gone in Madagascar. I said back in January the price would go to 5p. Well, 90% of investors were right yesterday when they said he wouldn't show up today. We are now very much on his wavelength. Mhow's post at 15.25 today is worth a good. Poddar doesn't want investors knowing his past antics.

Glad everyone now knows about Stratmin global. That's where shishir partially hatched his plan for TG and how to fleece furutre investors. His latest is coning us all to pay for 3 PCU units which are not needed ioho as it's just a way of getting a few million pounds to Hattimay Ventures which is owned by him. The graphite is purer than he's making out. Also he is lieing about the monthly tonage of graphite they are digging up. The numbers are very high in reality....well over 30000TPA though since he's been selling it to himself both publicly and privately he's taking most of TGR's profits. Ww will never see the promised volumes. Its all a con. Even the workers in madsgascar have openly said this has been going on for some time. There are many other cons hes been up to.. You cant lie when its all on digital video proof. So when will he show his face? This week? Next week? April? He's in hiding as we all know.
