If they buy the whole company in a "cold" hardnosed business transaction, i.e. literally buy up lots of shares, then yes they own the company, all its drug candidates and its IP. However, they don't gain the (automatic) support of the brains behind the company i.e. Vlad and the scientific team. Paying a generous lump sum maintains a "warm" relationship, access and an ongoing contribution from key individuals i.e. the brains trust. This know-how and continuity will be very valuable to Eli (or AN OTHER). Remember, employees can always walk and good ones always have a choice. I think the upfront will be significant.

Over the last few weeks there have been a number of posts that have refered to "churn" so for those not keeping a running tally of volume the churn, since the 16th February, has been just over 6.9Bn shares.
Couple of big sells (9M and 4M) this morning followed by a couple of large buys (5M and 7M) plus buys (4.2M) put through on the Aquis exchange:

A delayed trade, stamped at 16:24, for 500k at 6.38 from yesterday just appeared. Funnily enough between that time and the close yesterday there were 500K of buys at 6.5; a mix of 200K, 100K and 20K blocks.
That should have been ... "through as a live trade" ............ not delayed

It went through as delayed trade from 9:18, price was 6.7 (£67K).
Anyone owning up to this trade ? Its such a nice round number.
And another large trade just appeared, 1.3M at 2.689 (£35.2K)
Its the 16.35 Uncrossing Trade (UT).
That's two big buys gone through today so far:
1.27M at 2.69 (£34K)
750k at 2.69 (£20K)
Both transactions tagged as Single Protected Transactions (again !), someone loading up at mates rates. Don't expect a TR1 anytime soon, at least not until the SPT has been completed. I'm guessing Metallon increasing.

Interestingly, the first of the 750K trades is designated as "Ordinary" whilst the later 750K trade is designated as a "Single Protected Transaction". This was the vehicle used when Metallon built their stake without the need for TR-1's. A single protected transaction is notified to the stock exchange at the start of the transaction and then there is no requirement for a TR-1 until the transaction is completed. Obviously, no idea if they are the buyer.
Finally, MM's making a market and volume, result........SP rises. Seems the loan default has triggered a wave of buying, wonder if it was necessary to have a conclusion to the will he/wont he default on the loan in order to progress financing, i.e. it became a known known and could be factored into discussions rather than an known unknown?
