Deferred contingent consideration potentially exceeds market capitalisation

Aim-traded financial services group Tavistock Investments (TAVI:3.1p) has announced the disposal of its financial advisory and estate planning businesses to private equity-backed advice group Saltus Partners. The £37.75mn (6.75p) consideration is more than double Tavistock’s current market capitalisation of £17.4mn.

The two divisions reported combined pre-tax profit of £1.5mn on revenue of £5.8mn in the 12 months to 31 March 2023, so the exit pre-tax earnings multiple is 25 times. Saltus will discharge £11mn (2p) of intercompany debt, pay Tavistock £11mn (2p) cash on completion and there is a contingent deferred consideration element of up to £15.75mn (2.8p). It is based on the additional revenue generated by the two businesses over the next two years under Saltus’ ownership. Up to £10.25m of the contingent element will fall due 12 months post completion of the disposal and the balance 12 months later.

As posted in motley fool this unloved company, The sale of these two equity is more than the market cap of the company which in a lot of cases would double the share price , Tavi need to up the profile of the company on the lse and issue some incentive to shareholders also like buy backs etc

Office prat you where not right about results , minchin had to come along and explain the comerciality of them for you , And you still spout your nonsense there a mixed bag , Scuttle of back to He1 us propper holders are sick of hearing your shi&e

Like this new management, great test results and do what they say they are going to do, see how the share price reacts but hopefully i can pick up some more before tax loss sale news

Sure it will bounce back when Bo appears telling people in the flesh it's a commercial discovery , it does actually say that but some are a little slow to catch on

For gods sake stop engaging those two pricxs then they might just disappear, nowt but shi& comes out of there mouths , just stop it

The demise of bushveld while sad may have a positive effect on the share price in time , it's one less battery manufacturer in that field , I also can not see any labour government who have only recently began to win back scotlands vote would fail to include batterys made in scotland in any green energy storage plans , Hust my opinion of course but I'm adding on any dips

I feel your pain pupsterdad and dont get me wrong I've bought some lemons and made some mistakes , the money i made here might cover the shares I sold in ttg last week I lost 12% on only for them to be a takeover target this morning and rise 30%

My post was more aimed at the continual snipers, there are others too n other boards who just do it to wind people up and try to lose them money , it's all a bit sick really

only been investing 10 months and i've bought some lemons but i'm currently up £941 on an investment of £2490 bought on october 15th 2024 , i will let you work out the percentage but i'll take that anyday , its managed that against a back drop of people continually ****ging it off on this bb , why dont you buy some and bring out the bear in you ?

Hi Darbinater, welcome to investing , its hard work on the lack luster lse making a profit , The price has been lowered by rumours from around a 18p high , It also hasn't helped that the permission needed by the land owners hasnt been granted yet although the company say it will come , Sure others will tell you more , good luck with your investments , my only advice Is if you cant afford to lose money dont invest it especially on AIM

Markets poop at the moment have you not noticed , all those casting doubts in Bo and tte way the hex has been run up to now is BS management have been bang on , I dont think he is the usaul aim sh£t show , I believe it will come good because of their actions just needs patience, all imho

I remember mme an bagzz getting slated for daring to say this doesn't hold its share price well , All those new investors knew best , haha keep the faith the only way is up (eventually)

Bargain basement prices given the assets and future productivity , filling my boots here with cheap shares

Just starting to rise now , possibly trump and his love of oil halting a deserved rise , possibly a very lack luster market , Either way batterys are the future so i keep adding at these prices and wait for the share rise thats bound to come

Indeed a great company flying under the radar , Glencore wouldn't back a loser , I'm buying and adding as it will fly soon for sure

Goodness only knows why the small drop after that rns but what I have noticed is any rise comes the next day when the general news hit the press as opposed to rns , good time to top up as it's only going up IMO
