"Appalling corporate governance record" is a subjective characterization unless supported by objective findings (such as regulatory sanctions, court judgments, or exchange determinations).
There is no public evidence that a U.S. exchange or regulator has concluded Pensana's governance is so deficient that it would be ineligible for listing.
Whether a company qualifies for listing depends on many factors, including quantitative listing standards, governance requirements, disclosure compliance, and any remedial actions. A historical governance issue does not automatically result in rejection.
