The latest Investing Matters Podcast episode featuring Jeremy Skillington, CEO of Poolbeg Pharma has just been released. Listen here.
Not sure if this is Copper360 which listed on the JSE last April, it has traded in a range R 2.30 to R 20.00 with 698,351,660 shares issued. They have concluded a deal to buy the mine next door with a concentrator, funded by an offtake agreement with Fujax UK Limited. I have no opinion on this company other than they seem to have moved very quickly
to get deals done, time will tell if they can produce copper at volume and profitably.

IRH and Jubilee will aim to complete the implementation of the SPV and associated appointments by 31 January 2024. IRH will provide the necessary capital through equity and loans, subject only to IRH completing its due diligence
Has there been any news on the SPV ?
Merafe resources (JSE listed Chrome producer) are up over 9% today after releasing their interims on chrome prices.

They sold the companies only asset, they now seem to be scrambling to create a business for the listing to keep themselves employed. Looks like EV is not happy to sell the Saudi exploration licenses to CMRS. I wonder why Jason Cropper was loading up on the shares before the suspension.
From the AGM notice,
The Articles of Association of the Company and existing permissions allow communications to
Shareholders in electronic form and, in addition, they permit the Company to take advantage of
provisions relating to website communications. The Company will be supplying the audited
financial statements of the Company to you via our website www.caerusmineralresources.com.
EVM currently own 16.34% and Jason Cropper 14.3%.
One of the actions of the new board (RNS 30/11/2022) was to issue EVM with the option to subscribe for 650,00 pounds of convertible loan notes at a conversion price of 7.5 p to support working capital. (Directors need to be paid).
Should the Company require EVM to subscribe for the Total Subscription Amount, EVM's resulting holding in the Company would be 29.9%.
The new management were appointed by EVM as they are the largest single shareholder. The old management
appear to have done something illegal as they gave up their shareholding without a fight or compensation, though the additional payment that was expected from the old directors does not seem to have been forthcoming. The takeover by EVM seems to be in response to the company pursuing the Cypress projects and 'ignoring the opportunities that can be generated through its relationship with the EVM group'.
The new board disposed of the companies only assets and all it seems to have now is whatever EVM wishes to sell to it,
Jason Cropper increasing his share holding close to EVM's shareholding may be an issue for whatever EVM are trying to achieve.
The RNS 12th July.
Resignation of Andrew Daniels as Non-Executive Director.
Andrew will remain a director of New Cyprus Copper P.A. Ltd, part of Caerus' Cypriot portfolio, which alongside its JV partners holds Cypriot exploration licenses. The newly elected Board of the Company would like to thank Andrew for all he has achieved during his tenure at Caerus, and we have no doubt that he will continue to effectively manage our work programmes in Cyprus.
Andrew holds 10.4% of Cearus through Ploutonic Metals, the previous Chairman Michael Johnson holds 3.3%
and both now off the main board.
EV Metals holds 16.3% but seem to have total control of Cearus, or is there a deal to spin off NCC in the works.
From the RNS on the 8 th July, the new board seem to be questioning the proven coper and gold reserves.
The review will evaluate whether the Company's existing Cypriot assets have the appropriate characteristics and opportunity to generate long-term shareholder value as stand-alone development projects and in the context of their ability to meet EVM's significant resource demand.
Maybe the price is getting pushed down to allow EV to up their stake on the cheap, one of the resolutions at the AGM,
the allotment (otherwise than pursuant to sub-paragraphs (a) and (b) above) of equity
securities up to an aggregate nominal amount of £1,000,000;
If the nominal value of the comapnay stock is 1p and the resolution is to allot
relevant Securities (as defined in this Resolution) up to a maximum nominal amount of
£1,000,000, does this mean they are asking for permission to issue up to 100,000,000 new shares ?.
