Eight Capital Partners plc (AQSE: ECP), the investing company whose investment strategy focuses on technology, media, telecoms and financial services businesses including listed investing companies, is pleased to announce that, following shareholder approval pursuant to Section 190 of the Companies Act 2006 at the Company's recent AGM, it has acquired €40million 2.5% fixed rate secured bonds ("Bonds") from IWEP Limited ("IWEP"), a company controlled by ECP's Chairman, Mr Dominic White.
The Bonds were issued to IWEP by 1AF2 Limited, a private company registered in England which is a wholly owned subsidiary of The Avantgarde Group S.p.A. ("TAG"), an Italian private holding company invested in the fintech sector, in settlement of the acquisition of assets by TAG from IWEP.

For me that was conformation regarding a prospectus, referring to the bond issue, I posted earlier that day.
As the asset backing the bond is SYME shares.
The prospectus as we know will be for the roadshows plus one for the bonds.
They need to be good ??.very good in fact lol

The prospectus may come in three forms, for the road show, for the bond market listing (this needs to be very detailed, with audited accounts, revenue etc) plus a retail investor in plain English.
Also a thought from the AGM resolution, what name will be in the prospectus, something new perhaps.. don’t know
Will they raise more than the €40mill, via larger bond placing.
To pay for the 10% in the fintech bank and something else perhaps.
Again not a clue and don’t know.. but I am buying, that I do know

Think I would like to highlight the road shows in September, the prospectus being the back bone of that.
They will want to make it as appetising as possible to investors, clients and funders..
This, IMHO, will be the start of the sell. Hoping investors and funders will not be under DNA and they will push this sell too..
Also, with the shares all being tucked up in Mellon and used as security, this applies more than ever

The relationship is that the bonds are secured against SYME shares.
It is in their best interests to get the SP as high as they can, from producing the prospectus to 2024 .
As there will be reviews periodically of the amount of shares needed to cover the debt..
the higher the SP the less shares needed..

Napalm, quite agree with your post, everyone should Do their own research and certainly don’t listen to my opinion.
So this next bit is opinion based on RNS and research.
My post yesterday shows we are deemed illiquid, hence SETSsq.
It is also my opinion we await more than the update, in RNS.
As we need either the Fintech bank or the CB licence first, before they can IM.
I will hold, as I wouldn’t like to be trying to buy into an illiquid stock when news hits..
This is a personal opinion only and with all opinions it’s not fact or fiction, just an opinion.
Time will tell, next week we will see if this post is fact or fiction..
