VAT refund it's already due. The company should inform whether the money are already received by the company or Romanian Tax Authority is delaying the payment.

Remember that Xtellus is excluded from voting under scheme. That's why they presented those who already agree to vote for it. And they need 75% of all present shares in court. It shouldn't be an issue actually to gather enough opposing votes if there's a will . On top , each shareholder can write to court or present argument that the price is too low .

Is it even legal to buy so cheaply?

Anyone planning to block this deal? How about coming up with an agreement between multiple investors and voting against or making any other law action against such unreal offer?
