(Alliance News) - S-Ventures PLC on Friday agreed to sell its operating subsidiaries to RiverFort Global Opportunities PLC, in a deal which gives the former access to the AIM market, and the latter a chance to stem a "weak share price performance".

UK Oil & Gas PLC - London-based exploration and production company focused on UK and Turkey - Says that as part of a GBP3 million funding facility, it has delivered the first and second tranches of ordinary shares to RiverFort Global Opportunities PCC Ltd and YA II PN Ltd, in relation to the first cash sum received of GBP2 million gross. Adds that these shares can be converted at the investors' discretion to repay the loan, the balance of which now stands at GBP1.4 million. Any equity shares unsold at the end of the loan term or on early repayment will be sold by the investors and the net proceeds repaid to the company.

This collapse in profit is driven by a net movement in fair value of investments to a loss of GBP1.8 million from a gross profit of GBP242,873 the year prior. RiverFort Global says it generates investment income of GBP1.2 million. Says its net asset value per share on December 31 was down 9.3% at 1.35 pence from 1.49 pence, and net asset value decreases by 10% to GBP10.6 million from GBP11.7 million the previous year.
