IN BRIEF: Instem shareholders back motions relating to Archimed offer

Instem PLC - Staffordshire, England-based provider of IT services to life sciences market - On Thursday, reports required majority of shareholders back the resolution to approve the scheme by which the takeover of Instem by Archimed SAS will be facilitated. Further, shareholders approve special resolution to amend company's articles. Plans to seek court sanction of the scheme on November 16, with the scheme becoming effective on November 20.

IN BRIEF: Instem adjourns meeting after disclosing further approaches

Instem PLC - Staffordshire, England-based provider of IT services to life sciences market - Intends to adjourn the court meeting and the general meeting relating to the Archimed offer. These were scheduled to be held on October 19 and will now take place on November 2. Decision follows the disclosure by Instem today that since August 30, when the Archimed bid was announced, the firm has received approaches from five separate parties which could have led to a competing offer. However, states all parties have now withdrawn their interest. Believes shareholders should be allowed extra time to consider their votes, hence the delay. Stresses the Archimed offer will not lapse as a result of this announcement. Reaffirms view that the Archimed offer ascribes a highly attractive valuation.

Instem PLC - Staffordshire, England-based provider of IT services to life sciences market - Takeover offer from funds managed by Archimed SAS is declared final and won't be increased. Back in August, Instem agreed to an offer from Archimed of 833 pence per share in cash. This values Instem at GBP203 million in total. Archimed is a specialist healthcare investor registered in Lyon, France, with offices also in New York and Singapore. The court and general meetings to approval the takeover are scheduled for Thursday next week.

Instem swings to loss in first half but posts revenue growth

(Alliance News) - Instem PLC on Friday said it swung to a pretax loss in the six months ended June 30 on higher employee costs, but reported topline growth despite the "market weakness" during the period.
