IN BRIEF: Seraphine to be cancelled from London as offer unconditional

Seraphine Group PLC - London-based maternity wear retailer - Shares are expected to be cancelled from trading on the London Main Market on or around April 6, after takeover offer by Mayfair Equity Partners LLP is declared unconditional. Mayfair either owns, or has acceptances for its offer for, 78% of Seraphine shares. Mayfair had previously set a 90% acceptance condition for the offer but on Wednesday waived this down to 50%. The offer remains open for acceptances until further notice, Mayfair says, though it warns that cancellation from the stock exchange will reduce the liquidity of Seraphine shares. The offer, agreed back in January, is for 30 pence per share, valuing Seraphine at GBP15.3 million.

(Alliance News) - Seraphine Group PLC on Friday said it reached an agreement with Mayfair Equity Partners LLP, a London-based investor focused on technology and consumer businesses, for Mayfair to acquire the remaining shares of Seraphine that it does not already own.

(Sharecast News) - Maternity wear retailer Seraphine said on Friday that it has agreed to be taken over by its largest shareholder, Mayfair Equity Partners, in a £15.3m deal.

IN BRIEF: Seraphine sees lower revenue due to retail environment

Seraphine Group PLC - London-based maternity and nursing wear maker - Posts total revenue of GBP19.7 million for the 26 weeks ended on October 2, down 9.6% from GBP21.8 million the year before. Says product revenue declines by 12% in constant currency to GBP18.9 million from GBP20.8 million, due to the "highly challenging retail trading environment as noted by the retail sector as a whole". Pretax loss, however, narrows to GBP3.9 million from GBP7.3 million the year before. Distribution costs are reduced to GBP4.1 million from GBP4.5 million, "partly in line with volume", Seraphine adds.
