I am neither an accountant nor lawyer, but insolvency laws differ from country to country. Company structure might mean that a company files for bankruptcy protection in one country but does not affect its operations in another. Bankruptcy differs from insolvency. Insofar as UK is concerned, there is potential for severe penalty if a director knows that the company is trading while insolvent. This might include personal liability for debts incurred.
Do your research thoroughly before investing. Loss making company may be a better investment than one using sharp accounting practice to give the illusion of solvency.
