Update on Annual Report and Accounts

 

The Board of Directors of the Company (the "Board"), in discussion with the Company's auditors, MHA MacIntyre Hudson, have concluded that it will not be possible to publish the Company's audited annual report and accounts for the year ending 31 January 2020 (the "Annual Report") by the revised deadline of 31 October 2020 (see announcement of 30 June 2020). The delay in publication of the Annual Report is due to a combination of the inevitable impact of the Covid-19 pandemic on staff availability and movements and complexities in relation to fair value adjustments of certain assets. As a result, the Company's ordinary shares of 1 pence each are expected to be suspended from trading on the AIM market of the London Stock Exchange ("AIM") with effect from 0730 on 2 November 2020 (the "Suspension"). 

 

The Annual Report will be published as soon as possible, and, notwithstanding the Suspension, the Company will continue to make announcements as and when there are any developments that require announcement under the AIM Rules. The Board currently anticipates the publication of the Annual Report and the return from the Suspension around the end of November 2020. 

 

The Board will also utilise the additional one-month extension, as detailed in the Inside AIM publication issued on 9 June 2020, for publishing its half-yearly report for the six-months to 31 July 2020, which will now be due by 30 November 2020.
