CLS Holdings plc (the `Company') Transaction in Own Shares & Total Voting Rights

The Company announces that, pursuant to its general authority by shareholders of the Company on 22 May 2007 to make market purchases of its own shares, the Company acquired 5,155.

Ordinary shares on 1 April 2008 at a price of 362 pence per Ordinary share. The purchased shares will be held as treasury shares.

Following the above transactions the Company now holds 7,258,739 Ordinary shares as treasury shares and the total number of Ordinary shares in issue, excluding shares held as treasury shares, is 67,590,997. Therefore the total number of voting rights in CLS Holdings plc is 67,590,997.
