CLS Holdings plc (the `Company') Transaction in Own Shares & Total Voting Rights

The Company announces that, pursuant to its general authority by shareholders of the Company on 22 May 2007 to make market purchases of its own shares, the Company acquired 12,884 Ordinary shares on 19 May 2008 at a price of 349.75 pence per Ordinary share. The purchased shares will be cancelled.

Following the above transactions the Company now has 66,938,612 Ordinary shares in issue, excluding shares held as treasury shares, and the number of shares held as treasury shares is 7,439,209. Therefore the total number of voting rights in CLS Holdings plc is 66,938,612.
