Transaction in Own Shares

The Board of Terra Capital plc (the "Company") announces that on the 28 January 2014 the Company purchased 1,250,000 of its own ordinary shares of US$0.10 nominal value at a price of US$ 0.80 per share in the market, such shares to be held in treasury.

Following the above purchase, the Company holds 8,876,423 of its ordinary shares in treasury and has 68,379,236 ordinary shares in issue (excluding treasury shares).

The above figure of 68,379,236 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
