Transaction in Own Shares

The Board of Baronsmead VCT 3 plc announces that on 30 May 2012 the Company purchased 231,897 ordinary shares of 10p at a price of 96.5 pence per share to be held in Treasury.

Following the share buyback, the Company's issued ordinary share capital consists of 71,473,251 shares of which 8,279,214 shares are held in Treasury. Therefore the total number of shares with voting rights in Baronsmead VCT 3 plc is 63,194,037 ordinary shares of 10p. Each share has one voting right.
