SUBJECT: Transaction in Own Shares

The Board of Baronsmead VCT 3 plc announces that on 5 March 2010 the Company purchased 500,000 ordinary shares of 10p at a price of 87.0 pence per share to be held in Treasury.

Following the share buyback, the Company's issued ordinary share capital consists of 59,699,553 of which 5,967,317 are held in Treasury. Therefore the total number of shares with voting rights in Baronsmead VCT 3 plc is 53,732,236 ordinary shares of 10p.

The above figure 53,732,236 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Baronsmead VCT 3 plc under the FSA's Disclosure and Transparency Rules.
