In accordance with the Disclosure and Transparency Rules, Thomas Cook Group plc notifies the market of the following:

As at 31 July 2011 the issued share capital of Thomas Cook Group plc comprised 874,990,495 ordinary shares of €0.10. All of these shares carry voting rights of one vote per share. Thomas Cook Group plc does not hold any shares in treasury. The above figure of 874,990,495 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Thomas Cook Group plc under the Disclosure and Transparency Rules.
