St. James’s Place plc (the “Company”) - Voting Rights and Capital

In conformity with the Disclosure and Transparency Rules, the Company’s issued share capital consists of 513,780,733 ordinary 15p shares with voting rights. The Company holds nil ordinary 15p shares in Treasury.

Therefore, the total number of voting rights in St. James’s Place plc is 513,780,733.

The above figure (513,780,733 ordinary 15p shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA’s Disclosure and Transparency Rules.
