PRIVATE & COMMERCIAL FINANCE GROUP PLC ("PCFG" or the "COMPANY")

TOTAL VOTING RIGHTS

For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules, the Company advises that as of the date of this notice the total number of PCFG ordinary shares of 5p each ("Ordinary Shares") in issue is 53,021,701 with each share carrying the right to one vote.

There are no Ordinary Shares held in treasury.

The total number of voting rights in the Company is therefore 53,021,701.

The above figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the Disclosure and Transparency Rules.

In addition the Company has in issue 9,975,303 £1 nominal convertible unsecured loan notes which, if converted in accordance with their terms, would result in a further 117,356,505 Ordinary Shares being issued.
