In conformity with the Transparency Directive's transitional provision 6, we would like to notify the market of the following:

As at 22 December 2006, the issued share capital and voting rights of Gemfields Resources Plc ("Gemfields" or "the Company") are as follows:

The Company's share capital consists of 104,575,733 Ordinary 1p shares with voting rights attached (one vote per Ordinary share), none of which are held in treasury.

The above total voting rights figures may be used by shareholders as the denominators for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, Gemfields under the FSA's Disclosure and Transparency Rules.
