In conformity with the Transparency Directive's provision 5.6.1, Spirax-Sarco Engineering plc makes the following disclosure with respect to share capital and voting rights.

On 30th April 2014 Spirax-Sarco Engineering plc's capital consisted of 75,633,288 ordinary shares with voting rights. Spirax-Sarco Engineering plc holds no shares in Treasury.

The total number of voting rights in Spirax-Sarco Engineering plc is 75,633,288.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Spirax-Sarco Engineering plc under the FSA's Disclosure and Transparency Rules.
