Total Voting Rights and Warrant Update

Further to the exercise of 11,554,190 warrants that were issued by Interserve Plc (the "Company") in connection with its refinancing announced on 27 April 2018, the Company announces that yesterday it issued 11,554,190 ordinary shares representing approximately 7.16 per cent of the Company's enlarged ordinary share capital.

Accordingly, as at today's date, the Company's issued share capital with voting rights consists of 161,274,128 ordinary shares of 0.1 pence. The Company does not hold any shares in Treasury.

The figure of 161,274,128 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

To date, the Company has issued 15,560,008 ordinary shares as a result of the exercise of warrants, representing approximately 9.65 per cent of the Company's enlarged ordinary share capital. Of these, no warrants have been exercised on a cashless basis and 15,560,008 warrants have been exercised in cash.

Following the warrant exercise referred to in this announcement, 16,289,128 warrants, which, if exercised, would result in the issue of 16,289,128 ordinary shares, remain outstanding as at today's date.
