VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's transitional provision 6 the Company notifies the market of the following:

The Company's share capital consists of 30,000,000 Growth shares of 10p each with voting rights and 14,209,498 Zero Dividend Preference shares which have restricted voting rights in accordance with the Articles of Association

The above figure of 30,000,000 Growth shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, The Zero Preference Growth Trust PLC under the FSA's Disclosure and Transparency Rules.
