James Halstead PLC21 December 2006 James Halstead plc - Voting Rights and Capital In conformity with the Transparency Directive's transitional provision 6 wewould like to notify the market of the following: James Halstead plc's capital consists of: • 50,896,140 ordinary shares of 5p each with voting rights; • 200,000 5.5% cumulative preference shares with no voting rights (except in the case that payment of a dividend is over six months in arrears); • 16,042,530 'B' shares of 1p each with no voting rights; and • 4,716,319 'C' shares of 60p each with no voting rights. James Halstead plc does not hold any ordinary shares in Treasury. Therefore, the total number of voting rights in James Halstead plc is50,896,140. The above figure (50,896,140) may be used by shareholders as the denominator forthe calculations by which they will determine if they are required to notifytheir interest in, or a change to their interest in, James Halstead plc underthe FSA's Disclosure and Transparency Rules.
