TOTAL VOTING RIGHTS

In conformity with Regulation 20 of the Transparency (Directive 2004/109/EC), the Company announces that as of 28th November 2008:

The Company's issued share capital consists of 878,775,439 Ordinary Shares of nominal value €0.30 each of which the company holds 39,179,536 Ordinary Shares in treasury, which do not carry voting rights. Therefore, the total number of shares with voting rights is 839,595,903.

The above figure may be used by shareholders as a denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Transparency (Directive 2004/109/EC) Regulations 2007 and the Interim Transparency Rules of the Financial Regulator.
